APEX TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Apex mobile application ("Apex," "the App"), operated by VortexAI LLC ("we," "us," "our"). By downloading, accessing, or using Apex, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. ELIGIBILITY

You must be at least 13 years old to use Apex. By using the App, you represent that you meet this age requirement. If you are under the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. ACCOUNTS

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating your account and to keep it up to date. You may not share your account with others or create an account on behalf of someone else without their permission.

3. SUBSCRIPTIONS AND PAYMENT

Apex offers optional paid subscriptions that unlock the ability to complete daily workouts, which may include a 7-day free trial. Subscription pricing is displayed in the App at the time of purchase and is billed through your Apple ID account. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage or cancel your subscription at any time through your Apple ID account settings. Any unused portion of a free trial is forfeited when a paid subscription begins. All payments are processed by Apple, and Apple's own terms and refund policies apply to transactions made through the App Store.

4. AI-GENERATED CONTENT

Apex uses artificial intelligence to generate personalized workout programs, exercise recommendations, and coaching feedback based on information you provide. This content is generated automatically and is not a substitute for professional medical, fitness, or health advice. You should consult a physician before beginning any new exercise program, particularly if you have any pre-existing health conditions.

5. ASSUMPTION OF RISK

Exercise carries inherent risk of injury. By using Apex, you acknowledge that you are voluntarily participating in physical activity and assume all risks associated with that activity. VortexAI LLC is not responsible for any injury, harm, or damage resulting from your use of the App or your performance of any exercise or workout suggested by the App.

6. SQUADS AND USER CONDUCT

Apex allows users to create or join Squads, which include shared leaderboards and group chat features. When using Squad chat or any social feature of the App, you agree not to:

- Harass, threaten, or abuse other users

- Post content that is illegal, hateful, sexually explicit, or otherwise objectionable

- Impersonate another person or entity

- Share another user's personal information without their consent

- Use the App for any commercial solicitation not authorized by us

We reserve the right to remove content, suspend, or terminate accounts that violate these standards, at our sole discretion.

7. USER CONTENT

You retain ownership of any content you submit through the App, including chat messages and profile information. By submitting content, you grant VortexAI LLC a non-exclusive, worldwide, royalty-free license to use, store, and display that content as necessary to operate and provide the App's features, including displaying your messages to other members of your Squad.

8. INTELLECTUAL PROPERTY

The App, including its design, features, branding, and underlying technology, is owned by VortexAI LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or reverse engineer any part of the App without our prior written consent.

9. TERMINATION

We may suspend or terminate your access to Apex at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct harmful to the App or its users. You may stop using the App and delete your account at any time.

10. DISCLAIMER OF WARRANTIES

Apex is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the App will be uninterrupted, error-free, or that any workout program or AI-generated recommendation will produce specific fitness results.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, VortexAI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to personal injury, loss of data, or loss of profits, even if we have been advised of the possibility of such damages.

12. CHANGES TO THESE TERMS

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date above and, where appropriate, through an in-app notice. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.

13. GOVERNING LAW

These Terms are governed by the laws of the United States and the state in which VortexAI LLC is organized, without regard to conflict of law principles.
